Terms of Service

1. Acceptance of Terms

Welcome to jpeg.fun ("jpeg," "we," "us," or "our"), a skill-based photo prediction competition platform operated by Mainmo Pte. Ltd., a Singapore private limited company.

By accessing or using jpeg.fun, our mobile applications, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms form a legally binding agreement between you and jpeg. Read them carefully — they include an arbitration clause and class action waiver in Section 18 that limits how you can resolve disputes with us.

2. The Service — A Skill-Based Competition

jpeg is a daily skill-based photo prediction competition operated under United States law. Each day, a theme is announced. Users may submit photos or videos responding to the theme ("Competition Entries"). Other users participate by submitting predictions about which Competition Entries will be selected as winners by the community ("Predictions"). Users whose Predictions correctly identify winning entries receive prizes from the competition pool.

jpeg is a skill-based competition, not gambling. Outcomes are determined by participants' ability to recognize and predict community aesthetic taste, evaluate visual composition and creative merit, identify cultural relevance, and assess voting patterns. The skill components of jpeg include, without limitation: aesthetic judgment, knowledge of community trends, analysis of submission quality, evaluation of theme adherence, and prediction of collective voting behavior.

The Service is designed and operated as a skill-based contest under applicable U.S. federal and state law, modeled on the legal framework established by daily fantasy sports operators and other skill-based contest platforms. Outcomes are not determined by chance.

Stakes submitted with Predictions are entry fees for participation in a skill-based competition. They are not bets, wagers, or gambling instruments.

3. Eligibility

To use jpeg, you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher);
  • Be a legal resident of a permitted jurisdiction (see Section 4);
  • Have the legal capacity to enter into binding contracts;
  • Not be prohibited from participating in skill-based contests under applicable law;
  • Not be located in any jurisdiction subject to U.S. economic sanctions, and not be a person listed on the U.S. Treasury Department's Specially Designated Nationals and Blocked Persons List or any equivalent restriction list;
  • Not be an employee, officer, contractor, or immediate family member of jpeg or its affiliates participating in paid competitions.

We may verify your eligibility at any time, and we may terminate or suspend accounts found in violation of these requirements.

4. Geographic Restrictions

jpeg restricts access from jurisdictions where skill-based competitions with monetary prizes are prohibited, restricted, or require operator licensing we do not currently hold.

Residents of the following U.S. states may not participate in competitions involving Prediction Stakes: Arizona, Arkansas, Connecticut, Delaware, Hawaii, Idaho, Iowa, Louisiana, Montana, Nevada, New Hampshire, Oklahoma, South Carolina, South Dakota, Tennessee, Vermont, and Washington.

This list is subject to change based on legal developments, regulatory guidance, and counsel review. By using the Service, you represent that you are not a resident of a restricted jurisdiction.

We reserve the right to block access from any jurisdiction at our sole discretion based on legal, regulatory, or operational considerations. Attempting to circumvent geographic restrictions using VPNs, proxies, or false location information is a material breach of these Terms.

5. Account Registration and Verification

To participate in competitions involving Prediction Stakes, you must:

  • Create an account using a valid email address;
  • Connect a compatible cryptocurrency wallet;
  • Complete identity verification ("KYC") when required by us based on activity thresholds, jurisdictional requirements, or applicable law;
  • Provide accurate, current, and complete information.

You are responsible for maintaining the security and confidentiality of your account credentials and wallet. We are not liable for losses resulting from unauthorized access to your account, lost or compromised wallet keys, or your failure to safeguard credentials.

We may require additional verification at any time to comply with anti-money laundering laws, tax reporting obligations, or other legal requirements.

6. How Competitions Work

6.1 Daily Themes

Each day, jpeg announces one or more competition themes. Themes are selected at our sole discretion and may include creative, situational, aesthetic, or cultural prompts.

6.2 Competition Entries

Eligible users may submit Competition Entries during the submission period. Entries must comply with our Content Standards (Section 9) and may be removed at our discretion at any time.

6.3 Skill-Based Predictions

Users participate by submitting Predictions on which Competition Entries they believe will be selected by the community. Each Prediction requires a stake in USDC (the "Prediction Stake"). Prediction Stakes are entry fees for skill-based contest participation — they are not bets, wagers, or gambling instruments, and the Service does not involve gambling.

6.4 Prize Pool

Prediction Stakes contribute to a prize pool ("Prize Pool"), which is distributed as follows:

  • Eighty percent (80%) to users whose Predictions correctly identify winning Competition Entries, distributed proportionally based on participation;
  • Fifteen percent (15%) to the creators of winning Competition Entries as a creator royalty;
  • Five percent (5%) to the protocol treasury, supporting platform operations, development, and the $JPEG token ecosystem.

6.5 Winner Determination

Winning Competition Entries are determined by community voting and aggregated user predictions, using a transparent methodology published in our rules. Results reflect collective community judgment of submission quality, aesthetic merit, and theme adherence.

We may use technical tools and human review to detect and exclude fraudulent voting, collusion, or other manipulation. Where manipulation is detected, results may be adjusted, stakes may be refunded, or accounts may be suspended.

6.6 Non-Custodial Pools

Prize Pools are held in audited, non-custodial smart contracts on the Base blockchain. jpeg does not custody user funds. Distributions are executed automatically by smart contract logic when competition results are finalized.

6.7 Final Results

Competition results are final once posted, except where we determine in our reasonable discretion that adjustment is warranted due to technical malfunction, manipulation, or violation of these Terms.

7. Fees and Payments

7.1 Stake Amounts

Minimum and maximum Prediction Stake amounts are set by us and may change. Current limits are displayed within the Service.

7.2 Currency

All Prediction Stakes and prize distributions are denominated in USDC on the Base blockchain. You are solely responsible for managing your wallet, paying gas fees, and any conversion to or from USDC.

7.3 Refunds

Prediction Stakes are generally non-refundable once submitted. We may, in our sole discretion, issue refunds where a competition is canceled, results are voided, or a stake was submitted due to a verified technical malfunction.

7.4 Taxes

You are solely responsible for determining, reporting, and paying any taxes owed on prizes you receive. Where required by law, we may report prize distributions exceeding $600 per calendar year to the U.S. Internal Revenue Service and issue you a Form 1099. You agree to provide accurate tax identification information (Form W-9 or W-8 as applicable) when requested.

8. The $JPEG Token

The $JPEG token is a utility token associated with the jpeg ecosystem. $JPEG may be earned through participation, used within platform features, and distributed via mechanisms described in published documentation.

$JPEG is not offered or sold as an investment, security, or financial instrument. We make no representations about $JPEG's future value, market liquidity, utility, or trading availability. If you receive $JPEG, you do so at your own risk. We disclaim all warranties regarding token functionality, market existence, regulatory treatment, or future utility. Token-related rights and mechanics may evolve over time at our discretion or via governance.

Nothing in these Terms is an offer to sell or a solicitation to buy securities.

9. User-Generated Content

9.1 Your Content

You retain ownership of photos, videos, captions, and other content you submit ("User Content"). By submitting User Content, you grant jpeg a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, adapt, publicly display, and publicly perform your User Content in connection with operating, promoting, and improving the Service. This license survives termination of your account for User Content that has been published or distributed to other users.

9.2 Representations

You represent and warrant that:

  • You own or have all necessary rights to your User Content;
  • Your User Content does not infringe any third party's intellectual property, privacy, publicity, or other rights;
  • Your User Content complies with our Content Standards and these Terms;
  • Any photographs of identifiable individuals were taken and submitted with appropriate consent.

9.3 Content Standards

You may not submit User Content that:

  • Depicts illegal activity, graphic violence, gore, self-harm, or harm to animals;
  • Contains nudity, sexually explicit material, or any content sexualizing minors;
  • Harasses, threatens, defames, or targets any person or group;
  • Promotes discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin;
  • Contains hate speech or extremist content;
  • Violates intellectual property, privacy, or publicity rights;
  • Contains malware, spam, phishing content, or unauthorized commercial promotion;
  • Identifies private individuals in an exposing or harmful manner without consent;
  • Misrepresents who created the content, including AI-generated content presented as authentic photographs without disclosure, or content created by others.

9.4 Moderation

We use automated systems and human moderation to enforce Content Standards. We may remove any content at any time, for any reason, at our sole discretion, including content that does not violate these Terms but that we determine inappropriate for the Service.

9.5 DMCA Copyright Policy

We respond to valid notices of copyright infringement under the Digital Millennium Copyright Act. To submit a takedown request, contact our designated agent at admin@mainmo.com with the information required by 17 U.S.C. § 512(c)(3), including identification of the copyrighted work, location of the allegedly infringing material, your contact information, a good-faith statement, and a statement under penalty of perjury that you are authorized to act on behalf of the copyright owner.

We may terminate accounts of repeat infringers.

10. Prohibited Conduct

You agree not to:

  • Use multiple accounts to manipulate competition outcomes or participation;
  • Coordinate with other users to fix predictions, manipulate voting, or distort competition results;
  • Use bots, scripts, automated tools, or any non-human means to interact with the Service;
  • Reverse engineer, decompile, disassemble, or attempt to extract source code or smart contract logic from the Service;
  • Interfere with the Service's operation, security, performance, or other users' enjoyment;
  • Violate any applicable law, regulation, or third-party right;
  • Use the Service for money laundering, sanctions evasion, terrorism financing, or any other financial crime;
  • Misrepresent your identity, age, location, residency, or eligibility;
  • Engage in market manipulation related to $JPEG or other tokens;
  • Access the Service from a restricted jurisdiction using VPNs, proxies, false location information, or other circumvention tools;
  • Use the Service in a manner intended to evade tax obligations or reporting requirements.

Violations may result in account suspension or termination, forfeiture of stakes and prizes, removal of User Content, and legal action. Where appropriate, we may report violations to law enforcement.

11. Responsible Participation

jpeg is intended as a skill-based competition for entertainment and creative engagement. Participation should remain within means you can afford.

  • Set personal limits on your participation;
  • Take breaks if you find yourself participating beyond what feels comfortable;
  • Do not borrow funds to participate;
  • If you feel participation is affecting your wellbeing, finances, or relationships, stop and seek support. Resources include the National Council on Problem Gambling (1-800-GAMBLER) or 988 Suicide & Crisis Lifeline.

We provide tools to limit your participation, including self-exclusion options. To request self-exclusion or account closure, contact admin@mainmo.com.

12. Cryptocurrency and Blockchain Risks

Use of the Service requires interaction with the Base blockchain and USDC. You acknowledge and accept that:

  • Blockchain transactions are irreversible once confirmed;
  • You are solely responsible for your private keys, seed phrases, and wallet security;
  • Loss of wallet access may result in loss of funds, and we cannot restore access;
  • Gas fees, network congestion, and blockchain conditions are outside our control;
  • Smart contract bugs, while mitigated through audit, cannot be entirely eliminated;
  • USDC value is generally pegged to the U.S. dollar but is not guaranteed by us;
  • Regulatory treatment of cryptocurrency and digital assets is evolving and may affect the Service or your participation;
  • Blockchain transactions and wallet activity are publicly visible and permanent.

We are not your fiduciary, broker, financial advisor, or investment advisor.

13. Intellectual Property

The Service — including its design, code, branding, original content, trademarks, and proprietary technology — is owned by jpeg or its licensors and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in compliance with these Terms.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Service or its components, except as expressly permitted.

14. Third-Party Services

The Service integrates with third-party services including identity verification providers, blockchain infrastructure, wallet software, and analytics tools. Your use of those services is subject to their own terms and privacy practices. We are not responsible for third-party services, their availability, or their conduct.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.

We do not guarantee that:

  • The Service will be uninterrupted, secure, or error-free;
  • Predictions will result in prizes;
  • Competition results, smart contract execution, or distributions will be free of technical issues;
  • Specific features will remain available;
  • $JPEG will have any particular value, utility, or market.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JPEG, ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR DIGITAL ASSETS, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow limitations on certain damages. These limits apply only to the extent permitted by applicable law.

17. Indemnification

You agree to indemnify, defend, and hold harmless jpeg, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service;
  • Your User Content;
  • Your violation of these Terms;
  • Your violation of any law, regulation, or third-party right;
  • Misrepresentations you make regarding eligibility or identity.

18. Dispute Resolution and Arbitration

18.1 Informal Resolution

Before filing a formal claim, you agree to attempt informal resolution by contacting us at admin@mainmo.com with a description of your dispute. We will attempt to resolve disputes informally within 60 days.

18.2 Binding Arbitration

Any unresolved dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the Singapore International Arbitration Centre ("SIAC") under its Rules then in force. The seat of arbitration is Singapore, conducted in English by a sole arbitrator. The arbitrator's decision is final and binding.

18.3 Class Action Waiver

YOU AND JPEG AGREE TO RESOLVE DISPUTES INDIVIDUALLY AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, COLLECTIVE ACTIONS, CONSOLIDATED ACTIONS, OR REPRESENTATIVE PROCEEDINGS. If this waiver is found unenforceable for any claim, the rest of this Section 18 will be void with respect to that claim only.

18.4 Exceptions

Either party may bring claims for injunctive or equitable relief related to intellectual property or unauthorized use of the Service in court. Either party may bring qualifying claims in small claims court.

18.5 Opt-Out

You may opt out of arbitration by sending written notice to admin@mainmo.com within 30 days of first accepting these Terms. Your notice must include your name, the email associated with your account, and a clear statement that you opt out of arbitration.

19. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms, suspected fraud, legal or regulatory requirements, or business considerations.

You may stop using the Service at any time. To close your account, contact admin@mainmo.com.

Provisions of these Terms that by their nature should survive termination will survive, including Sections on intellectual property, content licenses, disclaimers, limitations of liability, indemnification, and dispute resolution.

20. Governing Law

These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

For any dispute not subject to arbitration, exclusive jurisdiction lies in the courts of Singapore.

21. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email at least 7 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

22. Compliance with U.S. Law

jpeg operates in compliance with applicable U.S. federal and state laws, including but not limited to:

  • The Unlawful Internet Gambling Enforcement Act (UIGEA), under which skill-based contests are exempt from prohibitions on online gambling;
  • The Federal Trade Commission Act;
  • The Bank Secrecy Act and applicable anti-money laundering regulations;
  • Internal Revenue Code reporting requirements;
  • State laws governing skill-based contests, where applicable;
  • Federal and state consumer protection laws.

We cooperate with law enforcement and regulatory authorities as required by law.

23. Miscellaneous

These Terms, together with our Privacy Policy and any other published rules referenced herein, constitute the entire agreement between you and jpeg. If any provision is found unenforceable, the remaining provisions will continue in effect. Our failure to enforce any right or provision is not a waiver of that right or provision.

You may not assign these Terms. We may assign these Terms in connection with a merger, acquisition, financing, or sale of substantially all of our assets.

Headings in these Terms are for convenience only and do not affect interpretation.
